Welcome to Halcyon Tech Consultants. By engaging our services or using our website, you agree to comply with and be bound by the following Terms and Conditions.
1. Services
Halcyon Tech Consultants provides software development, system auditing, architectural consulting, and related technical services. The specific scope of work, deliverables, and timelines will be defined in a separate Statement of Work (SOW) or written agreement for each project.
2. Intellectual Property
Unless otherwise agreed upon in writing:
- Client Ownership: Upon full payment, the client owns all custom code and deliverables created specifically for them.
- Halcyon Pre-existing IP: We retain ownership of our pre-existing libraries, tools, and methodologies used to deliver the services. You are granted a non-exclusive license to use these materials as part of your final product.
3. Client Obligations
To ensure project success, you agree to:
- Provide access to necessary systems, data, and personnel.
- Review deliverables and provide feedback in a timely manner.
- Ensure you have the legal right to use any third-party assets or data you provide to us.
4. Payment Terms
Invoices are due upon receipt unless otherwise specified in your agreement. We reserve the right to pause work if payments are past due.
5. Confidentiality
Both parties agree to protect the confidentiality of proprietary information exchanged during the engagement. We will not disclose your sensitive business data to third parties without your consent, except as required by law.
6. Limitation of Liability
In no event shall Halcyon Tech Consultants be liable for any indirect, special, or consequential damages arising out of the use or inability to use our services. Our total liability is limited to the fees paid for the specific service giving rise to the claim.
7. Termination
Either party may terminate an engagement with written notice if the other party breaches material terms of the agreement. Specific cancellation policies will be outlined in your SOW.
8. Governing Law
These Terms and Conditions are governed by the laws of the jurisdiction in which Halcyon Tech Consultants is registered.
